IMPORTANT NOTICE: These Terms and Conditions constitute a legally binding agreement between you and Thempo Platform LLC. Please read them carefully before using our services. By accessing or using Thempo, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. PARTIES AND SCOPE
1.1 Parties

These Terms and Conditions ("Terms", "Agreement") govern the relationship between Thempo Platform LLC, a limited liability company incorporated under the laws of Wyoming, United States of America ("Thempo", "we", "us", or "our"), and any individual or entity ("User", "you") accessing or using the Thempo platform, including the website at thempo.pro, mobile applications, APIs, and all related services (collectively, the "Platform").

These Terms apply to all users worldwide, regardless of their country of residence or the device or location from which the Platform is accessed. Thempo operates as a global platform and is designed to be compliant with major regulatory frameworks across jurisdictions, including:

Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use and cancel your account.

Thempo is a global marketplace and productivity platform that connects users with specialized assistants — both artificial intelligence systems and verified human professionals — through a proprietary digital currency system called 'Thempo Coins' or 'THEMPO'.

4. USER ACCOUNTS
4.1 Registration

To access the full features of the Platform, you must create an account by providing accurate, complete, and current information. You agree to update this information to keep it accurate and current.

5. THEMPO COINS — DIGITAL CURRENCY SYSTEM
5.1 Nature and Legal Status

Thempo Coins are a proprietary utility token used exclusively within the Thempo Platform. They do not constitute: (a) legal tender in any jurisdiction; (b) a security, investment, or financial instrument; (c) a commodity or derivative; (d) electronic money as defined by applicable e-money regulations. Thempo Coins have no guaranteed monetary value outside the Platform.

The THEMPO token that trades on cryptocurrency exchanges is a separate blockchain-based digital asset, distinct from in-Platform Thempo Coins. Thempo Platform makes no representations regarding the value, liquidity, or regulatory status of the THEMPO token in any jurisdiction. Users acquire the THEMPO token entirely at their own risk.

6. SUBSCRIPTIONS AND PAYMENTS
6.1 Subscription Plans

Thempo offers the following monthly subscription plans, priced in USD:

Additional Thempo Coins may be purchased at rates published on the Platform. Prices may vary by region due to local taxes, currency conversion, or regulatory requirements.

6.2 Billing and Renewal

Subscriptions are billed monthly in advance and automatically renew unless cancelled. The renewal charge will be applied to your payment method on file on the same day of each month. Thempo reserves the right to modify prices with 30 days' written notice.

6.3 Taxes

Prices shown exclude applicable taxes. You are responsible for all taxes arising from your use of the Platform, including VAT, GST, sales tax, or digital services taxes applicable in your jurisdiction. Where required by law, Thempo will collect and remit applicable taxes on your behalf.

6.4 Cancellation Policy

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You retain access to the Platform and your Thempo Coins until the cancellation date.

6.5 Refund Policy

All payments are final and non-refundable, except: (a) where required by applicable consumer protection law in your jurisdiction; (b) in cases of technical error attributable to Thempo; or (c) at Thempo's sole discretion in exceptional circumstances. EU and UK consumers have the right to withdraw within 14 days of purchase, unless the digital service has already been accessed.

7. ACCEPTABLE USE POLICY
7.1 Prohibited Conduct

Users must not use the Platform to:

8. INTELLECTUAL PROPERTY
8.1 Thempo's IP

All content, technology, designs, trademarks, trade names, logos, and other materials on the Platform are owned by or licensed to Thempo Platform LLC and are protected by international intellectual property laws. No rights are granted to users beyond those explicitly stated in these Terms.

8.2 User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant Thempo a worldwide, non-exclusive, royalty-free license to use, process, and display that content solely for the purpose of providing the services.

8.3 AI-Generated Content

Content generated by AI assistants on the Platform may not be protectable by copyright in all jurisdictions. You are responsible for verifying the intellectual property status of AI-generated content in your jurisdiction before commercial use.

9. DISCLAIMERS AND LIMITATION OF LIABILITY
9.1 No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THEMPO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

9.2 Quality of Services

Thempo acts as an intermediary platform and does not guarantee the quality, accuracy, or suitability of work delivered by AI assistants or human professionals. All deliverables are provided on a reasonable-efforts basis.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEMPO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. THEMPO'S TOTAL LIABILITY TO YOU FOR ANY CAUSE SHALL NOT EXCEED THE GREATER OF: (A) USD 100; OR (B) THE TOTAL AMOUNT PAID BY YOU TO THEMPO IN THE 3 MONTHS PRECEDING THE CLAIM.

9.4 Consumer Rights

Nothing in these Terms limits or excludes rights that cannot legally be excluded under consumer protection laws in your jurisdiction, including statutory rights of EU, UK, Australian, or other consumers.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Thempo Platform LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you submit through the Platform.

11. DISPUTE RESOLUTION
11.1 Informal Resolution

We encourage users to first contact us at legal@thempo.pro to resolve disputes informally. We will make good-faith efforts to resolve the matter within 30 days.

11.2 Arbitration

For unresolved disputes, both parties agree to binding arbitration under the rules of the American Arbitration Association (AAA) or JAMS, conducted in English. Arbitration shall take place in Wyoming, USA, or virtually. This clause does not prevent either party from seeking emergency injunctive relief.

11.3 Class Action Waiver

To the extent permitted by law, you waive any right to participate in class action lawsuits or class-wide arbitration against Thempo.

11.4 EU/UK Consumer Exception

If you are a consumer located in the EU or UK, you retain the right to bring claims before the courts of your country of residence and to use the EU Online Dispute Resolution platform (ec.europa.eu/consumers/odr).

11.5 Governing Law

These Terms are governed by the laws of Wyoming, USA, without regard to conflict of law principles, except where mandatory local consumer protection laws apply.

12. REGIONAL SPECIFIC TERMS
12.1 European Union and United Kingdom

EU and UK users have additional rights under the DSA and Consumer Rights Directive, including the right to non-discriminatory treatment, transparent algorithmic decision-making, and access to effective redress mechanisms.

12.2 California (USA)

California residents have additional rights under the CCPA/CPRA, including the right to know what personal information is collected, the right to delete, the right to opt-out of sale, and the right to non-discrimination for exercising these rights.

12.3 Brazil

Brazilian users have rights under the Lei Geral de Proteção de Dados (LGPD), including rights to confirmation, access, correction, deletion, portability, and information about sharing of personal data.

Canadian users have rights under PIPEDA and applicable provincial laws. You may have additional rights depending on your province of residence.

Australian users have rights under the Privacy Act 1988 and the Australian Consumer Law. The Australian Competition and Consumer Commission (ACCC) has jurisdiction over certain consumer protection matters.

13. GENERAL PROVISIONS
13.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Thempo regarding the Platform.

13.2 Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall continue in full force.

13.3 No Waiver

Thempo's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign your rights or obligations under these Terms without Thempo's prior written consent. Thempo may assign its rights to an affiliate or in connection with a merger or acquisition.

13.5 Force Majeure

Thempo shall not be liable for any delay or failure to perform resulting from circumstances beyond its reasonable control, including natural disasters, war, civil unrest, internet outages, governmental actions, or pandemics.
